EULA - End User License Agreement

Screen-Cut! Software Terms and Conditions:
You should carefully read the following terms and conditions before installing and using this software (“Software”). Your use of this software indicates your acceptance of this license agreement. This is a legal agreement (this "Agreement") between you (either an individual or an entity) and Screen-cut.com (" COMPANY"). This Agreement is part of a web site containing software available for download (hereby called "SCREEN-CUT") for helping, improving, enhancing, managing the use of the clipboard of the operating system screen capture functionalities (hereby called "EFFECTS").
1. GRANT OF LICENSE.
The COMPANY Hereby grants you a personal or commercial, non-exclusive, non-transferable license to use this Software during an un-limited time. This grant of license gives the right to use material created with the SCREEN-CUT on an unlimited number of times on your computer. You may not decompile, disassemble, or reverse engineer the SCREEN-CUT and the EFFECTS, and you may not create derivative works of the SCREEN-CUT and the EFFECTS, including (without limitation) for the purpose of obtaining unauthorized access to the SCREEN-CUT code. You agree not to access the SCREEN-CUT by any means other than through the interface that is provided by Screen-cut! for use in accessing the SCREEN-CUT. You are not granted any right, title, or interest in the SCREEN-CUT or the EFFECTS except the right to use it in accordance with this Agreement. SCREEN-CUT reserves the right to update content distributed thru SCREEN-CUT at its will without notice. You are not granted any rights to alter, modify or prevent the publication of the ADS distributed thru SCREEN-CUT.
2. REDISTRIBUTION
Free redistribution of SCREEN-CUT is authorized and allowed. Redistribution for profit of SCREEN-CUT for your personal or commercial benefit is NOT AUTHORIZED NOR ALLOWED.
3. MODIFICATIONS TO the SCREEN-CUT
Screen-cut! reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the SCREEN-CUT or the EFFECTS (or any part thereof) with or without notice. You agree that Screen-cut! shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
4. WARRANTY.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) YOUR USE OF the SCREEN-CUT AND OF the EFFECTS IS AT YOUR SOLE RISK. the SCREEN-CUT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SCREEN-CUT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, Whether EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO the IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
(b) SCREEN-CUT MAKES NO WARRANTY THAT (i) the SCREEN-CUT WILL MEET YOUR REQUIREMENTS, (ii) the SCREEN-CUT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) the RESULTS THAT MAY BE OBTAINED FROM the USE OF the SCREEN-CUT WILL BE ACCURATE OR RELIABLE, (iv) the QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR Other MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH the SCREEN-CUT WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN the SOFTWARE WILL BE CORRECTED (VI) SENSITIVE INFORMATION STORED THRU SCREEN-CUT IS SECURE.
(c) ANY MATERIAL DOWNLOADED, STORED OR Otherwise OBTAINED THROUGH the USE OF the SCREEN-CUT IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MIS-USE OR LOSS OF DATA THAT RESULTS FROM the USAGE OF SCREEN-CUT.
(d) NO ADVICE OR INFORMATION, Whether ORAL OR WRITTEN, OBTAINED BY YOU FROM SCREEN-CUT OR THROUGH OR FROM the SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS USER LICENCE AGREEMENT.
5. COPYRIGHT. the SCREEN-CUT and the EFFECTS are owned by Screen-cut!.com and are protected by international generally known laws and regulations copyright laws.
6. TERMINATION. The license will terminate immediately without notice from Screen-cut! if you fail to comply with any provision of this license. You agree that Screen-cut!, in its sole discretion, may terminate the software, support or use of the SCREEN-CUT or use of any other SCREEN-CUT service, and remove and discard any Content or features for any reason. You agree that any termination of your access to the SCREEN-CUT under any provision of this license agreement may be effected without prior notice, and acknowledge and agree that Screen-cut! may immediately deactivate, delete or discontinue SCREEN-CUT software and all related information and files associated to the SCREEN-CUT. Further, you agree that Screen-cut! shall not be liable to you or any third-party for any termination of your access to the Service or software.
7. LIMITATION OF LIABILITY: IN NO EVENT WILL SCREEN-CUT OR ITS SUPPLIERS, ADVERTISERS BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR FOR DIRECT, SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES HOW EVER CAUSED AND REGARDLESS OF theory OF LIABILITY, ARISING OUT OF the USE OF OR INABILITY TO USE the SCREEN-CUT AND the EFFECTS, EVEN IF SCREEN-CUT HAS BEEN ADVISED OF the POSSIBILITY OF SUCH DAMAGES.
8. GOVERNING LAW. This License shall be governed by the international laws and/or those of Province of Quebec, Canada.
